Ar ginčus dėl garantinių įsipareigojimų irgi reikės nagrinėti arbitraže?

Lietuvos Aukščiausiasis Teismas 2021-09-15 nutartyje, priimtoje civilinėje byloje Nr. e3K-3-228-823/2021, išsklaidė bet kokias abejones dėl to, ar ginčas dėl rangovo pareigos įvykdyti savo garantinius įsipareigojimus ir / ar atlyginti dėl netinkamo šių įsipareigojimų vykdymo užsakovui sukeltus nuostolius patenka į šalių sudarytos arbitražinės išlygos apimtį, ar toks ginčas visgi turi būti nagrinėjimas bendrosios kompetencijos teisme.

  • Priešistorė . Užsakovas, nepaisydamas to, kad su rangovu buvo sudaręs arbitražinę išlygą dėl iš rangos sutarties kylančių ginčų nagrinėjimo Vilniaus komercinio arbitražo teisme, kreipėsi į bendrosios kompetencijos teismą reikalaudamas priteisti iš rangovo žalą, susidariusią rangovui netinkamai įvykdžius garantinius įsipareigojimus. Pagrindinis užsakovo motyvas ignoruoti arbitražinę išlygą buvo tai, kad, pasak jo, žala susidarė jau po to, kai rangovas įvykdė rangos sutartimi prisiimtus įsipareigojimus, t. y. pastatė pastatą.
  • Pirmos instancijos teismo pozicija . Apygardos teismas ne tik priėmė ieškinį, tačiau ir išnagrinėjo bylą bei patenkino ieškinį visa apimtimi. Pasak pirmosios instancijos teismo, šalių sudaryta arbitražinė išlyga apima tik tuos ginčus, kurie kyla sutarties vykdymo metu. Tuo tarpu nagrinėjamu atveju šalių ginčas dėl žalos atlyginimo kilo jau po sutarties įvykdymo, t. y. garantiniu laikotarpiu paaiškėjus rangovo atliktų darbų defektams.
  • Lietuvos apeliacinio teismo pozicija . Apeliacinės instancijos teismas, priešingai nei pirmos instancijos teismas, konstatavo, kad ginčas dėl nuostolių, atsiradusių garantiniu laikotarpiu, atlyginimo yra ginčas dėl sutartinių įsipareigojimų pagal sutartį vykdymo. Anot teisėjų kolegijos, užsakovas nepagrįstai susiaurina rangos sutarties vykdymo sampratą nepagrįstai pašalindamas garantinių įsipareigojimų vykdymą kaip neva su sutarties vykdymu nesusijusį etapą. Remdamasis šiais argumentais Lietuvos apeliacinis teismas panaikino pirmos instancijos teismo sprendimą ir ieškinį paliko nenagrinėtu kaip teismingą Vilniaus komercinio arbitražo teismui.
  • Galutinis Lietuvos Aukščiausiojo Teismo verdiktas. Kasacinės instancijos teismas paliko Lietuvos apeliacinio teismo nutartį nepakeistą. Pasak teismo, prievolė nustatytu terminu atlikti rangos darbus nėra vienintelė rangos sutartimi sulygta rangovo prievolė. Sutarties vykdymas tęsiasi tol, kol įvykdomos visos joje nustatytos šalių prievolės, įskaitant ir rangovo prievolę vykdyti savo garantinius įsipareigojimus. Atsižvelgiant į tai, nėra jokių abejonių, kad tarp užsakovo ir rangovo kilęs ginčas patenka į arbitražinio susitarimo taikymo apimtį, todėl ginčas turi būti nagrinėjamas Vilniaus komerciniame arbitražo teisme.

Will the disputes over warranty obligations also need to be arbitrated?

In the ruling of the Supreme Court of Lithuania, adopted in the civil case No. e3K‑3‑228‑823/2021 on 15 September 2021, there were dispelled any doubts as to whether a dispute over the contractor's obligation to perform its warranty obligations and/or to indemnify the customer for damages arising from those obligations in case they are performed improperly, falls within the scope of the arbitration clause entered into by parties, or should it still be investigated by the courts of general jurisdiction.

  • Prehistory . Despite the fact that the customer had entered into an arbitration clause with the contractor regarding the settlement of disputes arising from the contract in the Vilnius Commercial Arbitration Court, he applied to the court of general jurisdiction to award damages for the contractor's improper performance of warranty obligations. The principal motive of the customer to disregard the arbitration clause was that, according to him, the damage had already occurred after the contractor had fulfilled his obligations under the contract, i. e. after he built the building.
  • Position of the court of first instance . The regional court not only accepted the lawsuit, but also investigated the case and upheld the lawsuit in its entirely. According to the court of first instance, the arbitration clause entered into by the parties only covers those disputes which arise during the performance of the contract. Meanwhile, in the present case, the dispute between the parties over damages arose after the performance of the contract, i. e. during the warranty period, when the defects in the work performed by the contractor became apparent.
  • Position of the Lithuanian Court of Appeal . The court of appeal, unlike the court of first instance, held that a dispute over compensation for losses incurred during the guarantee period was a dispute over the performance of contractual obligations. According to the judicial panel, the customer unreasonably narrows the concept of performance of the contract by eliminating the performance of warranty obligations as a stage allegedly unrelated to the performance of the contract. Based on these arguments, the Lithuanian Court of Appeal annulled the decision of the court of first instance and left the claim unexamined, stating that it falls within the jurisdiction of the Vilnius Commercial Arbitration Court.
  • The final verdict of the Supreme Court of Lithuania . The court of cassation left the ruling of the Lithuanian Court of Appeal unchanged. According to the court, the obligation to perform the contract work within the set term is not the only contractual obligation of the contractor. Performance of the contract shall continue until all the obligations of the parties set out therein have been fulfilled, including the contractor's obligation to perform his warranty obligations. Taking this into account, there is no doubt that the dispute between the customer and the contractor falls within the scope of the arbitration agreement, therefore, the dispute must be investigated in the Vilnius Commercial Arbitration Court.
